These terms govern your subscription to the MediCore hospital management platform. You accept them when you create a workspace, and they sit alongside our Privacy Policy and our Refund & Cancellation Policy.

1. Who These Terms Are Between

These terms form an agreement between Medicore, based in Chennai, Tamil Nadu, India ("MediCore", "we", "us"), and the hospital, clinic, laboratory, pharmacy or other facility that subscribes to the platform ("you", "the Facility"). Whoever completes signup confirms they are authorised to accept these terms on the Facility's behalf. They cover the MediCore hospital management software, the associated patient application, and any subdomain or custom domain we provision for you.

2. Your Workspace and Accounts

On signup we provision an isolated workspace for the Facility at a subdomain you choose. Every facility's data is separated at the database layer using PostgreSQL row-level security, so one workspace cannot read another's records. You are responsible for the staff accounts you create inside your workspace, for the roles and permissions you assign them, and for keeping credentials confidential; tell us promptly if you believe an account has been compromised. The details you give at signup — your legal name, GSTIN or PAN, and contact address — must be accurate, because they appear on the tax invoices we issue to you.

3. Free Trial

A trial workspace runs for 14 days from the moment it is provisioned. Nothing is charged during a trial, and a trial never converts to a paid subscription on its own — it becomes paid only when you choose a plan and complete payment. If a trial lapses without a paid plan the workspace stops being available for day-to-day use. We will not delete your data without telling you first; contact us before the trial ends if you need it exported.

4. Plans, Fees and Taxes

Subscription fees are billed in advance for each billing period — monthly or yearly, as you choose at signup and may change later. Prices are shown to you before you pay, in the currency of your billing region. Goods and Services Tax is charged at the rate prevailing on the invoice date and is payable in addition to the subscription fee. Every payment produces a tax invoice in your workspace, carrying your GSTIN where you have supplied one. Payment is due within 7 days of the invoice date unless a different term is agreed with us in writing.

5. Payments

Payments are taken through third-party payment providers — Razorpay, Cashfree, Stripe or PayPal, depending on your region. Card and bank details are entered on the provider's own secure checkout: MediCore does not receive or store your full card number. A payment counts as made only once the provider confirms it to us, and your workspace is activated or renewed at that point.

6. If an Invoice Is Not Paid

We send renewal reminders before a subscription falls due. If an invoice passes its due date your workspace keeps full access during a grace period, 7 days by default. After the grace period the workspace becomes read-only: your staff can still open, print and export existing records, but new entries are blocked until payment is received. We do not delete your data because an invoice is unpaid, and normal access returns as soon as payment clears.

7. Your Data and Our Role

The clinical records your staff enter belong to the Facility and its patients, not to us. For that data the Facility is the Data Fiduciary under the Digital Personal Data Protection Act, 2023, and MediCore acts as a Data Processor handling it on your instructions in order to run the service. For the account and billing data we hold about the Facility itself, we are the Data Fiduciary. Our Privacy Policy sets out both roles in full, together with how to reach our Grievance Officer.

8. Acceptable Use

You agree to use the platform lawfully and for the Facility's own operations. You must not attempt to reach another facility's workspace or defeat the isolation between workspaces; probe, load-test or reverse-engineer the platform without our written consent; resell or offer the platform to third parties as a service of your own unless we have agreed that in writing; or upload material you have no right to hold. You remain responsible for what your staff do with the accounts you issue them.

9. Clinical Responsibility

MediCore is record-keeping and workflow software. It is not a medical device, it does not practise medicine, and nothing it displays — including any template, alert or AI-assisted suggestion — is medical advice or a substitute for the judgement of a qualified professional. Every clinical decision, prescription and diagnosis remains the responsibility of the treating practitioner and of the Facility.

10. Availability, Maintenance and Support

We work to keep the platform available continuously and to keep your data backed up, but no online service is faultless. We may take the platform down for maintenance, and will give notice of planned windows wherever practical. Support is provided through the channels published on our website. Any specific uptime or response-time commitment applies only where it is set out in a separate written agreement signed with you.

11. Changes to the Platform and to These Terms

We develop the platform continuously and may add, change or withdraw features; we will not remove a material part of what you are paying for without telling you first. These terms carry the version number and effective date shown at the top of this page. If we revise them materially we will notify the Facility's registered contact, and continued use after the stated effective date means you accept the revision. Your recorded acceptance always refers to the version in force at the moment you accepted it.

12. Closing Your Account

You may stop your subscription at any time; our Refund & Cancellation Policy explains what that means for fees already paid. To close a workspace entirely, raise a deletion request from your workspace or in writing to us. We produce a backup of your data and make it available for you to download before anything is removed, and the deletion is carried out only after that. Once completed, deletion is permanent and cannot be undone.

13. Suspension and Termination by Us

We may suspend or end a subscription if fees remain unpaid after the grace period and our reminders, if the platform is used unlawfully or in breach of section 8, or where the law requires it. Except where the law or a serious breach demands immediate action, we will give you notice and a reasonable opportunity to put the matter right, and we will make your data available for export.

14. Liability

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence. Subject to that, MediCore's total liability in connection with the service is limited to the subscription fees you paid us in the 12 months before the event giving rise to the claim; and we are not liable for loss of profits, loss of business, or loss or corruption of data to the extent it results from your own systems, your staff's actions, or a failure to keep your own exports. This allocation of risk is reflected in the price of the service.

15. Governing Law and Jurisdiction

These terms are governed by the laws of India, and the courts at Chennai, Tamil Nadu have exclusive jurisdiction over any dispute arising out of them — save that either party may seek urgent injunctive relief from any competent court.
